Acceptance of the Terms of Use

These terms of use are entered into by and between you and Janus International Group, LLC (“Company,” “we,” “our,” or “us”). The following terms and conditions, together with our Privacy Policy (which may be updated from time to time and is incorporated by reference) and any other documents expressly incorporated herein (collectively, “Terms of Use”), govern your access to and use of our website (the “Site”), including any content, functionality, and services offered therethrough or related thereto.

Please read our Terms of Use carefully before you start to use the Site. By using the Site, you accept and agree to be bound and abide by (i) these Terms of Use, and (ii) any terms, conditions, legal policies, legal notices, and disclaimers on the Site and behind links, buttons, or icons on the Site. If you do not want to agree to these Terms of Use or the Privacy Notice you must not access or use the Site.

Ability to Accept Terms of Use

This Site is offered and available to users who are 16 years of age or older. Our Site is not directed to children under 16 and we do not knowingly collect Personal Data from anyone under this age. By accessing or using the Site, you represent and warrant that:

• You are at least 16 years old;
• You are using our Site in your capacity as an authorized representative of a customer or potential customer of the Company; and
• You are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use and to abide by and comply with them.

If you do not meet all of these requirements, you must not access or use our Site.

Changes to the Terms of Use

We regularly review and update these Terms of Use to reflect changes in our practices or for other operational, legal, or regulatory reasons. Any updates will be reflected in the “Last Reviewed” date at the top of this page.

It is your responsibility to review these Terms of Use periodically to stay informed about any changes. Your continued use of our Site after any updates constitutes your acknowledgment and acceptance of the revised Terms of Use. We may notify you of significant changes via email or other communications, but you are still responsible for reviewing this page regularly.

Accessing the Site and Account Security

We reserve the right to withdraw or amend any portion of our Site and any service or material we provide, at our sole discretion, without notice, except where required by applicable law. We will not be liable if, for any reason, all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site, including for maintenance, security, or operational reasons.

To access the Site or the resources it offers, you may be asked to provide certain registration details or other information, including Personal Data. It is a condition of your use of the Site that all the information you provide is correct, current, and complete. You agree that all information you provide to register or submit to this Site or otherwise, including, but not limited to, through the use of any interactive features on the Site, is governed by our Privacy Notice and you consent to all actions we take with respect to your information consistent with our Privacy Notice.

In the event you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Site or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You are responsible for maintaining the confidentiality of your login credentials and ensuring the security of your account. We recommend exercising caution when accessing the Site from public or shared devices to protect your account and Personal Data.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

Intellectual Property Rights

The Site and its contents, including but not limited to all information, software, text, displays, images, video, and audio, design, and layout, are owned by us, our licensors, or other content providers. These materials are protected by Canadian and international laws governing intellectual property, including copyright, trademark, patent, and trade secrets, as well as other applicable proprietary rights.

These Terms of Use permit you to use the Site as a resource for informational purposes in connection with a business transaction or potential business transaction between your organization and us. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Site, including corresponding informational resources available for your organization’s internal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your organization’s internal, non-commercial use, provided you agree to be bound by our End User License Agreement for such applications. For the avoidance of doubt, separately agreed-to terms and conditions applicable to the use of the Noke® Smart Entry solution and applications shall govern in the event of an inconsistency with these terms or any terms incorporated herein.

You are not permitted to:

• Modify copies of any materials downloaded from our Site.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
• Delete or alter any copyright, trademark, or other notices that identify ownership or rights associated with the materials from the Site, including intellectual property and other applicable rights.

You must not access or use any part of the Site, including its services or materials, for any commercial purposes, including resale, redistribution, or for-profit use, except as an informational resource in connection with a business transaction or a potentia0l business transaction between your organization and us. For the avoidance of doubt, no right, title, or interest in or to the Site or any content on the Site is transferred to you (regardless of the use), and all rights not expressly granted are reserved by us.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Site in breach of the Terms of Use, your right to use the Site will stop immediately and you must, at our option, return or destroy any copies of the materials you have made and provide confirmation of destruction upon request. Any use of the Site not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

Trademarks

“Janus,” “Noke,” and all related trademarks, names, logos, product and service names, designs, and slogans are trademarks of Janus International Group, Inc., its subsidiaries and affiliates and their respective licensors. You are prohibited from using such marks without our prior written consent. All other names, logos, product and service names, designs, and slogans appearing on this Site are the trademarks of their respective owners.

Prohibited Uses

You may use the Site only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Site:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws governing the export of data or software to and from the United States or other countries).
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way, including by exposing them to inappropriate content, requesting Personal Data, or engaging in other harmful conduct.
• To transmit or procure the transmission of any unauthorized advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or similar solicitations, without our prior written consent.
• To impersonate or attempt to impersonate the Company, our personnel, another user, or any other person or entity, including, without limitation, by using email addresses or other identifiers associated with such persons or entities.
• To engage in conduct that restricts or inhibits anyone's use or enjoyment of our Site, or that, as determined by us, may harm the Company or users of the Site, or expose them to liability.

Additionally, you agree not to:

• Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other user’s ability to use the Site, including engaging in real-time activities through the Site.
• Use any robot, spider, or other automated device, process, or means to access the Site for any purpose, including monitoring, scraping, or copying any of the material on the Site.
• Use any manual process to monitor, copy, or otherwise exploit any of the material on the Site for any unauthorized purpose without our prior written consent.
• Use any device, software, or routine that interferes with the proper functioning of the Site.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
• Attack the Site via a denial-of-service attack, distributed denial-of-service attack, or any similar disruptive action.
• Otherwise attempt to interfere with the proper functioning of the Site. 

Information About You and Your Visits to the Site

All Personal Data we collect on the Site is subject to our Privacy Notice. By accessing or using the Site, you acknowledge that you have read and understand our Privacy Notice and consent to the collection, storage, use, and disclosure of your Personal Data as outlined in the Privacy Notice.

Linking to the Site and Social Media Features

You may link to our Site homepage, provided you do so in a fair and legal manner that does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent. We reserve the right to withdraw linking permission at any time without notice.

If the Site contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We do not endorse, are not responsible or liable for, and make no representations regarding any aspect of such services, including, without limitation, their content, the manner in which they handle data (including your data), or any interaction between you and the provider of such services. You irrevocably waive any claim against the Company arising from or related to such services. The Company is not liable for any damage or loss caused, or alleged to be caused, by or in connection with your enablement, access, or use of such services, or your reliance on their privacy practices, data security processes, or other policies. We encourage you to review the terms and privacy policies of any third-party services before enabling or using them.

Geographic Scope

The owner of the Site, Janus International Group, LLC, is headquartered in the United States. The Site is governed by United States laws and is primarily intended for use by businesses located in the United States. Users from other countries may access the Site and provide information to engage in services located in the United States. If you access the Site from outside the United States, you do so on your own initiative and are responsible for complying with local laws. By using the Site, you agree that any Personal Data you provide is processed in accordance with our Privacy Notice, which is designed to meet applicable legal requirements based on the context of our operations.

Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY, ITS PARENT, SUBSIDIARIES AND AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, NOR ITS PARENT, SUBSIDIARIES OR AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, SUCCESSORS, AND ASSIGNS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA ARISING OUT OF OR IN CONNECTION WITH ANY BREACH OF THESE TERMS; YOUR USE, OR INABILITY TO USE, OR RELIANCE ON, THE WEBSITES; ANY LINKED WEBSITES; ANY TRANSACTION CONDUCTED IN CONNECTION WITH THE WEBSITES; OR ANY CONTENT, MATERIALS, POSTING, OR INFORMATION ON THE WEBSITES, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT THE COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES (INCLUDING ITS PARENT COMPANY, SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS) SHALL HAVE AN AGGREGATE LIABILITY LIMITED TO ONE HUNDRED CANADIAN DOLLARS ($100.00). THESE LIMITATIONS AND EXCLUSIONS ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its parent, subsidiaries and affiliates, and each of their respective directors, officers, employees, agents, service providers, contractors, licensors, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms of Use or your use of the Site, including, but not limited to, any use of the Site's content, services, and products other than as expressly authorized in these Terms of Use, any use of third-party sites, or your use of any information obtained from the Site.

Governing Law and Jurisdiction

These Terms of Use shall be construed in accordance with the laws of Georgia, excluding its conflict of law rules, and to the extent not preempted by United States federal. You agree that the exclusive jurisdiction and venue for any such disputes shall be the United States District Court for the Northern District of Georgia (Atlanta Division) or in the Superior Court of Fulton County, Georgia. You hereby waive any and all objections to jurisdiction and venue in those courts.

Waiver and Severability

No waiver by either party of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of either party to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

These Terms of Use constitute the sole and entire agreement between you and us regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

Assignment

You may not assign, convey, or transfer (whether by contract, merger or operation of law) these Terms of Use, in whole or in part, without our prior written consent, which may be granted or withheld by us in our sole discretion. Any attempted assignment in violation of these Terms of Use will be of no power or effect. We may assign these Terms of Use freely at any time without notice. These Terms of Use ensure to the benefit of and are binding upon the parties hereto, their successors and permitted assigns.
